This Application is established and operated by Pal Electronics Systems Ltd., Company No. 512992546 (“Pal”), for the purpose of enabling the operation, control and management of Pal products (subject to the relevant permissions).
Below you will find a concise summary of our Terms of Use. It is intended to help you understand the main points of the agreement between you and Pal, although it does not replace our full Terms of Use. Our full Terms of Use appear after this summary and constitute a binding agreement between Pal and the users. We invite you to read carefully the Terms of Use of the Application, our Privacy Policy and our Cookies Policy. These are the terms that apply to users of the Application and to engagements between us in connection with the Application, and they also explain how we handle personal information.
Please note: your use of the Application, including browsing it, indicates your consent and approval of the provisions of the Application’s Terms of Use.
The Application’s Terms of Use, Privacy Policy and Cookies Policy are drafted in the masculine form for convenience only and are intended for everyone.

Summary of the Terms of Use
1. Identity of the Parties and Binding Agreement
1.1. These Terms of Use regulate the legal relationship between the User and Pal Electronics Systems Ltd. (“Pal”).
1.2. Use of the Application, including registration, browsing and performing actions, constitutes the User’s full and informed consent to the terms set out in this document.
1.3. Use of the Application is permitted only for Users aged 18 and over and who are legally competent. Users acting on behalf of a corporation declare that they are authorized to do so.
2. The Application and Service Package
2.1. The Application is intended for remote control, operation and management of Pal products such as gates, LPR systems, smart remotes and more.
2.2. Actual use of the Application requires:
- (1) User registration with identifying details.
- (2) Purchase of an annual Service Package that includes ongoing updates, data storage and data traffic.
2.3. If an annual Service Package is not purchased the Product will be disconnected from Pal’s systems, the Application will cease to operate for it, and it will stop functioning.
3. Types of Users and Permissions
3.1. Regular User – any person registered to the Application.
3.2. Administrator User – a User who has been granted administrative permissions, enabling changes to Product settings, user management, assignment of remotes, addition of license plate numbers, and more.
3.3. Any action performed in the Application via the user’s profile, and in particular by an Administrator User, is under that User’s sole and exclusive responsibility.
3.4. Pal may change or revoke any User’s permissions, including discontinuing use of the Application, at its discretion.
4. Liability, Security and Indemnification
4.1. Use of the Application is on an “As Is” basis. Pal does not warrant uninterrupted, accurate or error‑free operation.
4.2. All information in the Application is presented for convenience only and does not constitute advice or a basis for decision‑making.
4.3. Pal bears no liability for damages of any kind – direct or indirect – including technical malfunctions, security breaches, or unauthorized use of a password.
4.4. Pal implements advanced information and communications security measures, but these do not guarantee absolute protection.
4.5. The User undertakes to indemnify Pal for any damage, expense or claim caused due to a breach of the Terms of Use.
5. Intellectual Property and Use Restrictions
5.1. All intellectual property rights in the Application, the Content displayed, and the related products belong exclusively to Pal.
5.2. Users are prohibited from copying, duplicating, distributing, transmitting, reverse engineering or taking any other action with respect to the Content or Product code, except pursuant to Pal’s express written authorization.
5.3. It is forbidden to display the Application’s Content in external sites (e.g., via iframe) or to alter the interface design.
6. Discontinuation of Service and Deleting a User
6.1. Pal may change the services, discontinue them in whole or in part, or block access to Users without any need for prior explanation.
6.2. Any User may delete their User profile at any time.
6.3. Pal or its representatives (such as authorized installers or distributors) may change a User’s type of permissions upon an authorized request.
7. Communication with the User and Support
7.1. Pal may send the User notices, including billing and operational notices.
7.2. Technical support is provided during business hours: Sun–Thu 9:00–17:00 (excluding Friday, Saturday, holidays and holiday eves).
8. Limitation, Governing Law and Jurisdiction
8.1. Any claim against Pal will become time‑barred within one year from the date the User discovered the event on which it is based.
8.2. The governing law is the law of the State of Israel, and exclusive jurisdiction is vested solely in the competent court in Tel‑Aviv Jaffa.
Terms of Use
1. Definitions
The terms defined below shall have the meanings appearing alongside them unless the context requires otherwise:
1.1. Service Package – services of upgrade and ongoing updates to the system (such as updates for new mobile devices), data storage, and the data traffic required to operate the product (Data).
1.2. Product – any Pal product, including hardware and software, including: Spider, Video Panel, RFID, Wireless Road Detector, LPR system and encrypted smart remote.
1.3. User – any user who has registered to the Application. If a user acts on behalf of a corporation, the corporation will be deemed the user and the actions of the individual on its behalf will be deemed actions of the corporation as well.
1.4. Administrator User – a User who has been granted administrative permissions in the Application.
1.5. Pal – Pal Electronics Systems Ltd., Company No. 512992546.
1.6. Application – Pal’s operation and management Application “Palgate”.
1.7. Content – all content in any format and media (whether existing today or in the future), including video, images and text published in the Application.
1.8. “Terms of Use” or “Terms” – these Terms of Use and the Privacy and Cookies Policy.
2. Binding Agreement Between the Parties
2.1. Use of the Application is subject to these Terms of Use. Do not use the Application if you do not agree to the Terms of Use. Your use of the Application, including browsing it, indicates your consent and approval of these Terms.
2.2. These Terms constitute an agreement between the User and Pal.
2.3. These Terms are a binding legal document in every respect between the User and Pal.
2.4. Section headings are provided for convenience only and shall not be used to interpret the Content of the sections.
2.5. Without derogating from the generality of the foregoing, a User’s acceptance and agreement to these Terms is a condition for registration, access and performing actions in the Application.
2.6. To use the Application, the User must be at least 18 years old and legally competent to enter into this engagement. If a User is under the age of 18, or over 18 but not legally competent purchases by such User are prohibited without the approval of their legal guardian, and the engagement and any purchase made shall be deemed approved by the User’s guardian.
2.7. If a User acts on behalf of a corporation, by registering the User represents and confirms that they are authorized to register to the Application on behalf of that corporation.
3. Change of Terms; Discontinuation of Service
3.1. Pal may change these Terms from time to time at its sole discretion.
3.2. Pal will update within the Application about changes to the Terms, and will publish from time to time an updated version in the Application. The User must read the updated Terms published in the Application and ensure agreement with them, and it is recommended to save the Terms for future reference. Notwithstanding the foregoing, changes will only apply to engagements or transactions not yet completed as of the date of the change.
3.3. Pal may discontinue operation of the Application, in whole or in part, including the provision of any service in the Application, and may also change the services, in whole or in part, at any time, without prior notice and/or obligation to provide reasons. The User hereby waives any claim or demand in connection with such changes and/or discontinuation of activity.
4. The Application
4.1. General
- 4.1.1. Subject to compliance with these Terms, Pal grants the User a limited, non‑exclusive, non‑transferable, non‑assignable and non‑sublicensable license to use the Application.
- 4.1.2. The purpose of the Application is to enable Users to operate products (such as opening gates) and to enable an Administrator User to perform administrative actions in relation to products (as detailed below in these Terms).
- 4.1.3. Pal may add or remove usage or information from the Application at its sole discretion. Pal may also convert use of a service or function in the Application from free to paid use, subject to prior notice, at its sole discretion.
4.2. Registration for the Application and Existence of a Service Package as a Condition for Using It
- 4.2.1. Use of the Application is subject to registration and will be available only to registered Users, subject to these Terms (as updated from time to time).
- 4.2.2. In addition, a User’s use of the Application (or that of a corporation on whose behalf the User acts) in relation to a given Product is subject to payment for an annual Service Package for the relevant product, as shall be determined by Pal from time to time. If an annual Service Package is not purchased by an end customer (or by the distributor on behalf of the end customer) for the relevant Product, the end customer’s Product will be disconnected from Pal’s systems, Pal will cease to perform upgrades and updates, will cease to provide data traffic, all Users of the distributor and the relevant Product will be disconnected from the Application, and the Product will cease to function.
- 4.2.3. Registration for the Application is subject to providing the following details at the time of registration: first name and last name, phone number and company/business name.
- 4.2.4. When registering to the Application, the User’s identity will be verified through various processes and the User may be required to provide additional identification, all at Pal’s sole discretion. The Application may verify the User’s phone number by sending a message (SMS, WhatsApp, etc.) or verify email by sending an email including a number that the User will be required to enter in the Application as confirmation of registration, or any other verification method determined by Pal at its sole discretion.
- 4.2.5. Registration to the Application is personal. It is prohibited to allow in any way access and/or use of the Application by anyone other than the User themself.
- 4.2.6. The User agrees and declares that they will be solely responsible for any action performed using their User account.
4.3. Administrator User
- 4.3.1. An Administrator User is a User who has been granted administrative permissions and can change settings of the Product for which such permissions were granted, including granting administrative permissions to other Users via the Application, adding access permissions (such as adding a license plate number for vehicle gates, pairing smart remotes with relevant Products, etc.).
- 4.3.2. Sole responsibility for any action performed by an Administrator User lies with that Administrator User, and Pal shall not be liable for any action performed (or omitted) by an Administrator User.
- 4.3.3. An Administrator User may be permitted to view information and data regarding Users of the Product for which administrative permissions were granted, as shall be determined by Pal from time to time. The Administrator User shall use information lawfully and solely for the purpose of supervising the operation of the Product. The Administrator User undertakes that any input, processing, transfer or use of personal information concerning persons registered to the Application or any other third party shall be carried out only in accordance with applicable law, including the Privacy Protection Law and regulations thereunder, and subject to obtaining appropriate and informed consent from data subjects, insofar as required. The distributor shall maintain absolute confidentiality of any personal and/or sensitive information that comes into its possession within the framework of this agreement, and shall use it only for the purpose of operating Pal’s Products and services, and in accordance with these Terms, Pal’s Privacy Policy and any applicable law. The Administrator User shall be solely responsible for any use of such information by the Administrator User.
4.4. Deleting a Profile and Blocking Use
- 4.4.1. A registered User may delete their profile and disconnect from the services offered in the Application at any time.
- 4.4.2. Pal may delete or disconnect the profile of a registered User and block use of the Application by such User at any time and at its sole discretion without obligation to provide reasons.
- 4.4.3. Pal or the relevant distributor or installer of the Product may grant a User administrative permissions for a specific Product in accordance with a request by a person authorized to request this in relation to the relevant Product. Pal or the relevant distributor or installer of the Product may convert an Administrator User into a User without administrative permissions at any time and at their sole discretion without obligation to provide reasons.
5. Support, Communication and Contact
5.1. Pal may send the User messages via the Application and other means, including for the purpose of charging for a Service Package.
5.2. You can contact Pal via the “Contact Us” form on Pal’s website at: www.pal-es.com or via email at: info@pal-es.com.
5.3. You can contact Pal during Pal’s regular business hours. A Pal representative will be available during Pal’s normal business hours, which are: Sundays–Thursdays: 9:00–17:00. Pal’s offices are closed on Fridays, holiday eves, Saturdays, holidays and Jewish festivals.
5.4. Support regarding the Application will be provided to the User during Pal’s regular business hours.
6. Change of the Terms; Discontinuation of Service
6.1. Pal may change these Terms from time to time at its sole discretion and without prior notice.
6.2. Pal is not obligated to provide notice (neither in advance nor retroactively) of changes to the Terms on its own initiative, and will publish from time to time an updated version in the Application. The User must read the Terms before using the Application and ensure agreement with them, and it is recommended to save the Terms for future reference. Notwithstanding the foregoing, changes to the Terms will apply only to engagements or transactions not yet completed as of the date of the change.
6.3. Pal may discontinue operation of the Application, in whole or in part, including the provision of any service in the Application, and may also change the services, in whole or in part, at any time, without prior notice and/or obligation to provide reasons.
6.4. The User hereby waives any claim or demand in connection with the aforementioned changes and/or discontinuation of activity.
7. Intellectual Property
7.1. All intellectual property rights (including copyrights) in the Application and in Content published by Pal shall be the exclusive property of Pal, including its name, trademarks (whether registered or not) and copyrights, including (without limitation): its design, Applications, related software and code, and its user experience design (UX/UI).
7.2. Publishing Content in the Application or uploading/inputting information therein, whether by Pal or by a User, does not grant any rights to any third party, including rights of use or ownership.
7.3. Users confirm and undertake that they are the owners of all rights to upload/input any Content or information they upload to the Application (including, without limitation: details of other users, vehicle numbers, phone numbers, etc.).
7.4. Without derogating from the generality of the foregoing, it is clarified that you may not use, copy, distribute, create derivative works, display, transmit, publicly perform and/or make available to the public any intellectual property related to the Application other than in accordance with these Terms or Pal’s prior written consent.
7.5. Except for permitted use of the Application as set out in these Terms, you may not make any use of the Application or the data published therein without Pal’s consent, including crawling the Content, processing it, cataloging it and displaying it in other media.
7.6. Without derogating from the above, it is prohibited to display Content from the Application within a visible or hidden “frame” (iframe) or to display the Content of the Application in any manner that alters its original design and/or omits anything, including by means of any software, device, accessory or communication protocol.
7.7. Nothing in these Terms and/or in anything appearing in the Application shall be deemed to grant any rights with respect to intellectual property rights in any part of the services offered in the Application.
7.8. A User undertakes not to copy any Product in any form, including through reverse engineering, and not to enable or be a partner or involved in any way in assisting others to copy a Product and/or perform reverse engineering.
7.9. Changes to Product software, method of connection or interfacing not performed by Pal are prohibited. A User shall not perform or attempt to perform or be involved in any way in any actions intended to operate the Product other than via Pal’s software or systems.
8. Limitation of Liability
8.1. BY ENTERING AND USING THE APPLICATION, THE USER AGREES AND CONFIRMS THAT THE APPLICATION IS PROVIDED ON AN “AS IS” BASIS, WITHOUT ANY WARRANTY OR COMMITMENT BY PAL, EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS.
8.2. ANY USE OF THE APPLICATION IS AT THE USER’S SOLE RESPONSIBILITY. THE INFORMATION PUBLISHED IN THE APPLICATION CANNOT SERVE AS A BASIS FOR MAKING FINANCIAL, LEGAL, PERSONAL AND/OR OTHER DECISIONS, AND THE USER MUST REVIEW AND VERIFY THE INFORMATION BEFORE MAKING ANY DECISION. ALTHOUGH PAL MAKES EVERY EFFORT TO PRESENT ACCURATE AND RELIABLE INFORMATION IN THE APPLICATION, PAL DOES NOT UNDERTAKE THAT THE INFORMATION PUBLISHED IN THE APPLICATION IS COMPLETE, UP TO DATE OR CORRECT.
8.3. ANY ACTION PERFORMED BY A USER VIA THE APPLICATION IS AT THE USER’S SOLE DISCRETION AND RESPONSIBILITY.
8.4. PAL MAKES GREAT EFFORTS TO PROVIDE USERS WITH A HIGH-QUALITY AND SAFE USER EXPERIENCE IN THE APPLICATION. HOWEVER, PAL (INCLUDING ANY AFFILIATED COMPANY, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES AND ANYONE ACTING ON THEIR BEHALF) SHALL NOT BE LIABLE FOR ANY DIRECT AND/OR INDIRECT DAMAGE, PECUNIARY OR NON‑PECUNIARY, DAMAGE TO PROPERTY OF ANY KIND, BODILY INJURY OF ANY KIND RELATED TO THE APPLICATION AND/OR ARISING FROM THE APPLICATION AND/OR THE USE THEREOF, INCLUDING PERFORMING ACTIONS VIA THE APPLICATION; AS WELL AS ANY DIRECT AND/OR INDIRECT DAMAGE RELATED TO MALFUNCTIONING OF THE APPLICATION, INCLUDING WITHOUT LIMITATION AVAILABILITY ISSUES (INCLUDING DUE TO SERVER MALFUNCTIONS), COMMUNICATION FAILURES (INCLUDING INTERNET, CELLULAR AND LANDLINE), ACCESS BY A MINOR OR LEGALLY INCOMPETENT PERSON WITHOUT THE CONSENT OF PARENTS AND/OR GUARDIAN, ANY ACTION PERFORMED BY ANY THIRD PARTY THAT WILL CAUSE DAMAGE OR USE OF THE APPLICATION’S ACTIVITY OR OF THE APPLICATION AND/OR USE OF THE USER’S PASSWORD OR BY ANYONE ON THE USER’S BEHALF WITHOUT AUTHORIZATION, MALFUNCTIONS IN THE USER’S OR END CUSTOMER’S DEVICE AS A RESULT OF ACCESS TO OR INSTALLATION OF THE APPLICATION. THE USER HEREBY WAIVES ANY SUCH CLAIM AND/OR DEMAND AGAINST PAL.
8.5. PAL DOES EVERYTHING IN ITS POWER AND EMPLOYS ADVANCED TECHNOLOGICAL AND ORGANIZATIONAL SECURITY MEASURES TO SECURE THE APPLICATION, THE COMMUNICATIONS THROUGH IT, AND THE INFORMATION UNDER ITS CONTROL, AGAINST ACCIDENTAL OR DELIBERATE EXPLOITATION, LOSS, DESTRUCTION OR AGAINST ACCESS BY UNAUTHORIZED OR UNAPPROVED PERSONS. THE CONNECTION BETWEEN THE USER’S COMPUTER AND PAL’S COMPUTERS AND SERVERS IS SECURED USING ACCEPTED ENCRYPTION METHODS, ACCORDING TO PREVAILING STANDARDS. PAL ALSO TAKES REASONABLE MEASURES TO PROTECT THE APPLICATION AND ITS RELATED HARDWARE AND SOFTWARE COMPONENTS, AND ENSURES THAT THEY ARE UPDATED ON AN ONGOING BASIS, INTER ALIA, TO PROTECT THE APPLICATION AND ITS CONTENT FROM INTRUSIONS, BREACHES OR UNAUTHORIZED WIRETAPPING. NOTWITHSTANDING THE FOREGOING, PAL CANNOT GUARANTEE INFORMATION AND ITS RETENTION ABSOLUTELY, AND DOES NOT UNDERTAKE THAT ITS SERVICES WILL BE COMPLETELY RESISTANT TO UNAUTHORIZED ACCESS TO THE INFORMATION OR CONTENT STORED THEREIN. THEREFORE, IT IS HEREBY CLARIFIED THAT PAL SHALL NOT BEAR ANY LIABILITY, AND THE USER HEREBY WAIVES ANY CLAIM, IN THE EVENT OF INTRUSION OR BREACH AND/OR ANY DAMAGE CAUSED AS A RESULT.
8.6. PAL MAY TERMINATE A USER’S USE OF THE APPLICATION IN ANY CASE OF AN ACTION CONTRARY TO THESE TERMS AND/OR PROVISIONS OF THE LAW; HOWEVER, FAILURE TO TERMINATE USE SHALL NOT RELEASE THE USER FROM RESPONSIBILITY FOR THE ABOVE OR CONSTITUTE A WAIVER OR CONSENT TO SUCH ACTIONS.
9. Application Security
9.1. You may not perform or attempt to perform actions intended to disrupt the operation of the Application, including:
- 9.1.1. Unauthorized penetration to servers, accounts and/or data;
- 9.1.2. Using the Application under a false identity and/or impersonating another;
- 9.1.3. Testing, scanning and/or sampling the Application, including attempts to test the Application’s penetration;
- 9.1.4. Disrupting and/or attempting to disrupt the services provided in the Application and/or the operation of the servers through which the Application operates.
10. Breach and Indemnification
10.1. Breach of these Terms may lead to termination of the breaching User’s ability to use the Application, to legal proceedings and/or use of any other legal means against the breaching User.
10.2. Without derogating from any law, the User shall defend and indemnify Pal and/or anyone on its behalf (including its directors and shareholders), immediately upon Pal’s first demand, with respect to any claim or damage caused to the company in connection with a breach of these Terms or the Terms of Use of the Application and/or a breach of any law applicable to the User.
10.3. Such indemnification shall cover any expense, payment, loss, loss of profit or any other damage, direct or indirect, pecuniary or non‑pecuniary, caused to Pal, including to any of its employees, directors, shareholders or anyone on its behalf, including court expenses and attorneys’ fees.
11. Limitation Period
11.1. Any claim by a customer on any ground against Pal becomes time‑barred within one year from the day the customer first became aware of it. After such year, the customer shall be deemed to have waived all rights related to such claim. Nothing in this section derogates from the validity and generality of the limitation of liability and waivers in these Terms.
12. Governing Law and Jurisdiction
12.1. The law governing any dispute and/or interpretation regarding these Terms is exclusively the law of the State of Israel.
12.2. Exclusive jurisdiction shall be vested solely in the competent court in Tel‑Aviv Jaffa.
